1. Introduction

These Terms & Conditions ("Terms") govern your use of the website and services provided by SpedMic Private Limited ("SpedMic", "we", "us"). By accessing or using our site or engaging our services you accept these Terms. If you do not agree, you must not use our website or services.

2. Services

SpedMic provides software development, web & mobile application development, cloud solutions, and related IT services. Specific project deliverables, timelines, and fees are governed by separate written agreements (quotes, proposals or contracts) between SpedMic and the client.

3. Proposals, Payments & Fees

• All prices and fees in proposals are valid for the period specified in the proposal. Unless otherwise agreed, a deposit (e.g., 25–50%) may be required to start work.
• Invoices are payable within the terms stated on the invoice. Late payments may incur reasonable interest or result in service suspension until paid.
• Any additional work outside the scope of an agreed proposal will be billed separately at our standard rates.

4. Client Responsibilities

Clients must provide timely access to information, systems, and decision-makers required for delivery. Delays caused by the client may affect timelines and costs.

5. Intellectual Property

Unless otherwise stated in a signed agreement, we retain ownership of pre-existing intellectual property, tools, and libraries. On full payment for the project, the client receives the agreed license or ownership of the project deliverables as specified in the contract.

6. Confidentiality

Both parties agree to keep confidential information private and not to disclose it to third parties except as required by law. Publicly available information is not considered confidential.

7. Privacy

Our Privacy Policy explains how we collect and use personal data. By using our services you consent to data processing as described there.

8. Warranties & Disclaimers

We aim to deliver professional, quality work. Except where required by law, SpedMic provides services "as is" and disclaims all other warranties, whether express or implied, including merchantability or fitness for a particular purpose.

9. Limitation of Liability

To the maximum extent permitted by law, SpedMic’s total liability arising from or related to these Terms or the services provided is limited to the total fees paid by the client to SpedMic under the specific project agreement. We are not liable for consequential, incidental, special, or punitive damages.

10. Termination

Either party may terminate an engagement according to the terms set out in the project contract. On termination, the client must pay for work performed up to the termination date and return any SpedMic confidential materials.

11. Governing Law

These Terms are governed by the laws of Pakistan. Any disputes will be subject to the exclusive jurisdiction of the courts in Faisalabad, Pakistan, unless otherwise agreed in writing.

12. Changes to Terms

We may update these Terms from time to time. When we do, we will post the updated Terms on this page with a revised "Last updated" date. Continued use after updates constitutes acceptance.

These Terms constitute the entire agreement between you and SpedMic regarding the subject matter and supersede prior communications and proposals unless explicitly stated otherwise in a signed contract.
